My Board of Trustees is about to vote on a resolution that states that if anything in it is contrary to a bylaw or covenant the resolution prevails.
I maintain this is illegal as resolutions cannot supersede Bylaws or Covenants.
I am a trustee and will be out voted on this matter.

1. Statutory and common law foundation
2. Declaration
3. Articles of Incorporation
4. Bylaws
5. Rules
6. Procedural resolutions and guidelines
7. Other resolutions of the Board of Directors
8. Contractual obligations imposed by the Board of Directors
9. Actions and decisions by officers and employees
